Contracts and addenda

This contract was entered into on 18 Ordibehesht 1405 between Arya Tejarat Pars Co. (the client) and niasa digital agency (the supplier).

Clause 1 — what this contract covers

The design, build and launch of an online store, comprising the storefront pages, a dedicated admin panel, integration with the warehouse system and a bank payment gateway.

Clause 2 — value and payment stages

The contract is worth 486,000,000 toman in total, paid in four parts as the work progresses: 10% on signing, 30% once the design is approved, 20% on delivery of the staging version and 40% on final delivery.

Clause 3 — schedule and delivery

The work runs for 130 working days from the date of signing. Any delay caused by content or access not being supplied by the client is added to that period.

Clause 4 — warranty and support

Technical defects are fixed free of charge for 6 months after final delivery. New features are not covered by this clause and are handled under a separate addendum.

Clause 5 — intellectual property

Once the contract is paid in full, all economic rights in the designs and code produced pass to the client.

Clause 6 — termination and disputes

Any dispute will first be taken up by negotiation and, failing that, through the competent judicial authorities.
